Introduction
1. These terms and conditions (“Terms”) govern the provision of Pod’s installer training programme (“Training Services”) and your participation in such Training Services as a participant ("you" or "participant").
2. By enrolling in the Training Services, you agree to comply with these Terms, which constitute a binding agreement between you and us.
3. You should read these terms and conditions carefully before you accept them, along with our Privacy Notice which sets out the ways in which we may collect, store and process data (including for marketing purposes) relating to your participation in Training Services and covers your rights to access and request correction of any of your personal information that we hold.
Scope of Training Services
4. The Training Services aim to provide professional training to enhance your skills and knowledge relevant to the installation, commissioning use and operation of Pod’s products which are sold to wholesalers, which include Pod’s EV chargepoint and associated products (“Products”).
5. The content, structure, and schedule of the Training Services will be outlined in enrolment materials or other communications from us. We will use reasonable care and skill in the preparation of such materials. However, we do not guarantee that information contained on our Training Services materials is correct or up-to-date. When installing our Products you warrant that you have and maintain all the reasonably expected professional qualifications and expertise applicable to the installation of the Products (including where relevant those described in Pod Point's relevant installer guide, which is available on our website or Install Guides).
6. Enrolment in the Training Services is subject to our confirmation and availability. There will be no charge for the Training Services.
Participant Obligations
7. Participants will enrol for the Training Services online via the relevant website or email link, which will include you providing us with your email address (which we will use as described in these Terms).
8. By enrolling in the Training Services, you agree to:
a. Attend all scheduled sessions to be delivered online via Zoom and complete any exercises, assignments, or assessments provided;
b. Adhere to all applicable rules, instructions, and policies communicated in connection with the Training Services;
c. Use any materials or resources provided for your participation solely for personal learning purposes and not for any unauthorised reproduction or distribution;
d. Complete any specified manual check for electrical certification (via NICEIC membership or alternative), including providing us with copies of the same certification where requested; and
e. Notify us promptly if you are unable to attend any training session.
Completion of Training and Benefits
9. Upon your successful completion of the Training Services, as determined by:
a. Full attendance at the training sessions; and
b. Completion of all assigned tasks,
you will be eligible to receive the rewards described in clause 11 below (“Rewards”).
10. The Rewards may include:
a. Pod sending you via email a copy of our ‘Pod Approved’ logo assets (the “Logos”) and permission from us to make use of these assets in your promotional materials, including online;
b. permission from Pod to sell Pod Products to your customers with an extended 5-year product warranty (above and beyond the Products’ standard 3-year product warranty) as is further described in and subject to our Warranty Statement (the “Extended Warranty”); and/or
c. other incentives & benefits which will be made available to you via our third-party rewards platform, subject to and as described in clause 11.
11. Alongside completion of the Training Services, you may also register with our third-party reward platform Loyalty Works (or any alternative platform we notify you of from time-to-time) (the “Loyalty Provider”), through which you may accrue further Rewards in connection with the installation of Pod’s Products in accordance with your completed Training Services. We will notify you via email about how to register with such Loyalty Provider. You recognise and accept that any additional Rewards made available to you via our Loyalty Provider will be subject to separate terms and conditions as set out by that Loyalty Provider.
12. As soon as practicable Pod commits to enabling and maintaining records of your completion of the Training Services and of your installed Products which attract your special Extended Warranty.
13. All Rewards offered are entirely discretionary, non-transferable, have no monetary value and may be subject to additional conditions specified at the time of offer.
Intellectual Property and Confidentiality
14. All content, materials, and resources provided to you during the Training Services and the Logos ("Materials") are the exclusive property of Pod Point Limited and/or its licensors.
15. You are granted a limited, non-exclusive, non-transferable licence to use the Materials solely as described in these Terms.
16. You agree not to copy, modify, distribute, or create derivative works from the Materials without our prior written consent.
17. You undertake not to disclose such information to any third party, use it for your own benefit outside the Training Services, or make it publicly available unless expressly authorised in writing.
Limitation of Liability
18. We make no warranties or guarantees regarding the results or outcomes you may achieve as a result of participating in the Training Services.
19. Nothing in these Terms excludes or limits Pod’s liability for death or personal injury caused by our negligence (including our agents and subcontractors) or for fraud or fraudulent misrepresentation.
20. Without prejudice to clause 19, to the fullest extent permitted by law Pod shall not be liable in connection with the Training Services for:
a. Any indirect, special, or consequential losses, including loss of profits or damage to data;
b. Any business losses or any loss of income, goodwill, opportunity, anticipated savings or profits; or
c. Failures or delays arising from circumstances beyond our reasonable control.
21. Without prejudice to clause 19, Pod’s total liability under these Terms or in connection with the Training Services will not exceed £1000 (one thousand pounds).
Law and jurisdiction
22. These Terms constitute the entire agreement between you and us concerning the Training Services and supersede all prior agreements or communications. The Loyalty Provide may communicate their own terms and conditions to you in connection with some Rewards, but such terms will be without prejudice to these Terms.
23. English law applies to these Terms and to the Training Services and any disputes or claims will be settled by the courts of England or Wales. Any disputes or claims relating to use outside of the UK will be subject to English law and to the courts of England or Wales.
